Terms and Conditions

1. Definitions

1.1 SIMACODE SARL AU: located at Bd Youssef Ibn Tachafine Bureau Nr 24, Oujda, Morocco.

1.2 Customer: the natural or legal person who enters into an agreement with SIMACODE for software products or services.

2. Applicability

2.1 These general terms and conditions apply to all offers, quotes, and agreements between SIMACODE and the Customer concerning software products or services.

2.2 Deviations from these conditions are only valid if agreed in writing or by email.

3. Offers and quotes

3.1 All offers and quotes from SIMACODE are without obligation, unless expressly stated otherwise.

3.2 SIMACODE cannot be held to offers or quotes that clearly contain a mistake or typo.

4. Agreement

4.1 The agreement is established at the moment that the Customer accepts the quote from SIMACODE in writing or by email.

4.2 SIMACODE has the right to refuse an assignment without giving any reason.

5. Delivery and execution

5.1 SIMACODE will perform and deliver the agreed-upon software products or services to the best of its ability and with the necessary care.

5.2 The Customer ensures that all data necessary for the execution of the assignment is provided to SIMACODE in a timely manner.

6. Payment

6.1 Unless otherwise agreed, payments for software products or services must be made within 15 days of the invoice date.

6.2 If the payment term is exceeded, the Customer will receive a reminder asking them to pay the outstanding amount within 15 days.

6.3 If the Customer still has not paid after receiving the reminder, they are in default by operation of law. The Customer then owes legal interest on the outstanding amount, from the day the payment term has expired until the day of full payment.

7. Liability

7.1 The liability of SIMACODE for software products or services is limited to the amount paid out by the insurer, if and insofar as the damage is covered by the insurance.

7.2 SIMACODE is not liable for indirect damage, such as consequential damage, lost profit, or damage due to business stagnation as a result of the use of the software products or services.

8. Disputes

8.1 Moroccan law applies to all agreements between SIMACODE and the Customer.

8.2 Disputes will be submitted to the competent court in the district where SIMACODE is located.

9. Changes

9.1 SIMACODE has the right to change these general terms and conditions. Changes will also apply to already concluded agreements, unless the Customer terminates the agreement within 30 days of being notified of the change.
